J. C. Chandor, son of an investment banker, wrote the screenplay partly inspired by his own foray into real estate investment in New York shortly before the 2008 financial crisis.

Chandor wrote the film in the days following the collapse of Lehman Brothers, and this was his first feature film as a director.

The screenplay was written in a borrowed office from the WSF on the Bowery, described by Chandor as 'a home for homeless filmmakers'; while his family lived in Providence, he slept on the sofa until the production budget allowed him to rent a nearby apartment.

Chandor kept photos of the actors on the wall to track eyelines in conference room scenes with multiple characters.

Principal filming began on June 21, 2010 in New York and lasted only 17 days, with over 80% of the action shot on the 42nd floor of the recently vacated Penn 1 building by a trading firm.

Jeremy Irons joined the cast in the third week of filming to play the firm's chief executive officer.

The film was produced by Before the Door Pictures, a company owned by Zachary Quinto created together with his Carnegie Mellon University classmates Neal Dodson and Corey Moosa.

The name of the character John Tuld is a combination of names of real former CEOs: John Thain of Merrill Lynch and Richard Fuld of Lehman Brothers.

Although the film's fictional firm is not identified, the plot resembles real events from the 2008 crisis, such as Goldman Sachs' early move to reduce its exposure to mortgage-backed securities, while Lehman Brothers, which acted later, went bankrupt.

After its premiere at the Sundance Festival in 2011, several distributors competed for the film's rights in negotiations that lasted all night; Lionsgate, in partnership with Roadside Attractions, won the dispute for North American rights, beating out IFC Films, which had offered a seven-figure sum.

The film competed for the Golden Bear at the 61st Berlin International Film Festival and was nominated for the Academy Award for Best Original Screenplay.
